I have assisted non-profits with a variety of areas of the law, including, land use, energy efficiency, finance, legislation, risk consulting and non-profit project implementation. I have clients throughout California, with offices on the Central Coast and in the northern Sierras.
Non-profit corporation start up
For groups interested in forming a non-profit, my law office offers support services, which may include working closely with board members to ensure all corporate formation documents are tailored to meet the needs of the new non-profit, facilitating an initial organizational board meeting, direct advice on an ongoing basis to ensure all tasks are completed, and acting as the registered agent for initial State of California filings. Services may also include written reports to help the board understand their role as directors, such as addressing conflict of interest issues and state and federal reporting requirements, as well as educational seminars to the board and staff on common legal issues that arise in non-profits.
Initial risk assessment & management
A recommended first step for existing non-profits. For existing non-profits established at least one year, my law office offers an Initial Risk Assessment that includes a comprehensive review of the non-profit’s corporate, non-profit and IRS compliance risks, including a review of the bylaws and other operating documents. Upon the completion of the assessment, the Board is presented with a Risk Assessment and Recommendation Report, which includes the findings and recommended prioritized actions for the Board to take to mitigate identified risks. Other options- Upon the Board’s request, additional assessments and recommendations can be added to address risks such as director liability risk, operational risks and reputation risk.
